What is the difference between retail and wholesale investors?

The difference between retail and wholesale investors in Australia is a legal classification under the Corporations Act 2001 that determines investor protections and access to investments.

 

Retail investors

Retail investors are individuals who do not meet the legal criteria to be classified as wholesale.

 

Key characteristics:

  • Receive higher regulatory protections
  • Must be provided with a Product Disclosure Statement (PDS)
  • Access is generally limited to retail approved and listed investments
  • Typically face lower minimum investment amounts

 

Wholesale investors

Wholesale investors (also called sophisticated investors) meet specific financial thresholds.

 

An investor is generally classified as wholesale if they:

  • Have net assets of at least AUD $2.5 million, or
  • Earn AUD $250,000 or more per year (before tax) for the past two financial years, as certified by a qualified accountant.

 

Key characteristics:

  • Fewer disclosure requirements
  • Access to a broader range of investments, including many direct and unlisted funds
  • Often higher minimum investment amounts
  • Greater responsibility to assess risks independently

 

Key difference in practice

  • Retail investors receive more protection but have restricted access
  • Wholesale investors have wider access but fewer regulatory safeguards
